These Terms of Use apply to the web site located at www.FBIN.com and any associated site with a FBIN.com URL, including the FBIN.com Customer Portal (“Customer Portal”) (collectively, the “Site”). Customer Portal. To use the Customer Portal, you must register for a Customer Portal account (“Account”) and provide certain information about yourself as prompted during the registration process. You agree to maintain and promptly update such information to keep it true, accurate, current and complete.

For security purposes, Fortune Brands offers the option to access your Account via multi-factor authentication. Regardless of whether you accept or reject this option, you remain fully responsible for the security of the Account, including, without limitation, access to the Account and any and all use and misuse of the Account as a result of such access. You agree to take reasonable steps to secure your Account credentials and to prevent unauthorized use of same. You agree to notify Fortune Brands immediately of any unauthorized use of the Account. You further agree not to email, post, or otherwise disseminate any username, password, or other information which provides access to the Customer Portal other than to Authorized Users (as defined below). Fortune Brands is not liable for any losses that you may incur as a result of unauthorized access to the Account, either with or without your knowledge.

By creating an Account, you are considered the owner of the Account. Individuals who you permit to access and use the Customer Portal are your Authorized Users. At your discretion, you may choose to give access to your Account to Authorized Users. Anyone with access to your Account may have the ability to use the Customer Portal and modify or take actions in connection with the Account. They also have the ability to view information (including without limitation personal information) and content associated with the Account. You are and hereby agree to be fully responsible for all actions taken by Authorized Users relating to the Customer Portal and the Account. You acknowledge and understand that Authorized Users may subsequently invite or enable others with the same access and ability to use your Account, and will take reasonable steps to safeguard against further unauthorized use of the Account and Customer Portal.

Indemnification and Damages.  You agree to indemnify, defend and hold harmless Fortune Brands, its affiliates and their officers, directors, employees, contractors, agents, licensors, service providers, subcontractors and suppliers from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees and court costs, arising or resulting from your use of the Site and any violation of these Terms of Use. Fortune Brands reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with Fortune Brands in the defense of such matter. Further, if you cause a technical disruption of the Site or the systems transmitting the Site to you or others, you agree to be responsible for any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees and court costs, arising or resulting from that disruption.

Jurisdiction and Applicable Law.  This Site was developed in the United States of America in accordance with and shall be governed by the laws of the State of Illinois (USA) in interpreting and enforcing these Terms of Use. By your access and use of the Site, you irrevocably consent to the jurisdiction of the courts located in the State of Illinois for any action arising out of or relating to these Terms of Use. Notwithstanding the foregoing, this Site may be viewed internationally and may contain references to products or services not available in all countries. Reference to a particular product or service does not imply that such products or services are or will be available in such countries.

Severability.  If any provision of these Terms of Use is unlawful, void or unenforceable, the remaining provisions will remain in place.

Entire Agreement and Admissibility. These Terms of Use and any policies or operating rules posted on this Site constitute the entire agreement and understanding between you and Fortune Brands with respect to the subject matter thereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter.
